Terms of Service

1. Operator and Scope
The Beekeeper platform ("Service") is operated by Risan Solutions, a sole proprietorship (enkeltpersonforetak) registered in Norway (Org.nr 937 137 273), Valenvegen 49, 3802 Bø i Telemark, Norway.
The Service is intended solely for merchants and content creators acting in a commercial or professional capacity. By accessing or using the Service, you represent that you are entering into these Terms on behalf of a business or in a professional capacity and not as a private consumer. If you do not agree to these Terms, do not use the Service.
2. Definitions
- "Beekeeper", "we", "us", "our" refers to Risan Solutions, the operator of the Beekeeper platform.
- "Merchant" means a business entity or professional using the Service to create campaigns and distribute coupons.
- "Creator" means a content creator or influencer using the Service to promote merchant campaigns and earn commissions.
- "User", "you", "your" refers to any Merchant or Creator with a registered account.
- "Coupon Token" means a cryptographically signed, single-use JWT token issued by the Service for coupon validation and redemption.
- "Redemption" means the successful use of a Coupon Token at checkout, confirmed via the Beekeeper API.
- "Platform Fee" means the per-redemption fee charged by Beekeeper to the Merchant, currently 1% of the pre-discount cart value plus $0.10 USD.
- "Creator Commission" means the per-redemption amount owed by the Merchant to a Creator, calculated as a percentage of the post-discount cart value at the Creator's configured rate.
3. Description of Service
Beekeeper is a privacy-focused coupon distribution platform that enables Merchants to create promotional campaigns, distribute tokenized coupons through Creators, and validate redemptions via REST API. The Service includes merchant dashboards, creator portals, API access, analytics, payment facilitation through Stripe, a direct messaging inbox, and encrypted voice calling between Merchants and Creators.
Beekeeper validates and records Coupon Token events (issuance, validation, redemption). The Merchant remains solely responsible for its own checkout logic, honoring discounts, payment processing, and e-commerce platform configuration. Beekeeper is not responsible for errors arising from incorrect merchant integration or e-commerce platform misconfiguration.
4. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials and API keys
- Enable two-factor authentication (2FA) when required
- Verify your email address
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Act in a commercial or professional capacity
You are responsible for all activity that occurs under your account, including any actions taken using your API keys. Notify us immediately at security@beekeeper.bz of any unauthorized access or suspected security breach.
5. Merchant Terms
As a Merchant using the Service, you agree to:
- Provide legitimate promotional offers and honor all valid coupon redemptions
- Integrate the Beekeeper API correctly and validate coupons at checkout in accordance with our API documentation
- Pay all applicable platform fees and creator commissions as billed
- Not create deceptive, misleading, or unlawful campaigns
- Maintain an active billing method on file for per-redemption fees
- Safeguard your API keys and not expose them in client-side code or public repositories
- Comply with our Acceptable Use Policy and confirm that your business, products, and activities do not fall within any prohibited business category listed therein
Usage events generated via your API key are billable unless caused by a verified security breach directly attributable to Beekeeper. You are responsible for ensuring your checkout integration correctly applies discounts and processes payments.
6. Creator Terms
As a Creator using the Service, you agree to:
- Promote merchant campaigns honestly and transparently
- Disclose your affiliate or commercial relationship as required by applicable law (e.g., FTC guidelines, EU consumer protection regulations)
- Not engage in fraudulent redemption activity or artificial inflation of metrics
- Complete Stripe Connect onboarding and identity verification to receive payouts
- Understand that the minimum payout threshold is $25.00 USD
7. Fees and Billing
Beekeeper charges Merchants a per-redemption fee of 1% of the pre-discount cart value plus $0.10 USD per successful redemption. Current rates are published on our Pricing page.
- All fees are in USD unless otherwise stated.
- All fees are exclusive of VAT and applicable taxes. VAT will be added where required by law.
- Fees are billed via Stripe metered billing. Each redemption is reported as a usage event.
- Stripe payment processing fees are separate from Beekeeper fees and are charged directly by Stripe under its own terms.
- Beekeeper reserves the right to adjust pricing with 30 days' prior written notice. You may terminate your account before the new pricing takes effect.
Stripe and Stripe Connect are independent third-party payment services governed by their own terms of service and privacy policies. Suspension, restriction, or modification of your Stripe account may impact Service functionality, including the ability to process redemptions and receive payouts. Beekeeper is not responsible for Stripe processing delays, account holds, or freezes.
Beekeeper may suspend the Service for failed payments, billing disputes, suspected fraud, abuse, or compliance risks. By using the Service, you consent to electronic invoicing and electronic communications for billing purposes.
8. Creator Payouts
Creator commissions are set by Merchants on a per-creator basis. Payouts are processed via Stripe Connect and require the Creator to complete identity verification as required by Stripe. Beekeeper processes payouts on request (minimum $25.00 USD) and through periodic automatic processing for eligible Creators. Where a payout fails, the balance will be restored to the Creator's account, subject to Beekeeper's receipt of the corresponding funds from Stripe.
Merchants and Creators are each responsible for their own tax reporting and compliance obligations in their respective jurisdictions.
9. Prohibited Conduct
You may not:
- Scrape, bot, or automate coupon issuance or redemption
- Attempt to circumvent rate limiting, abuse detection, or security measures
- Distribute or resell Coupon Tokens outside of intended channels
- Create multiple accounts to evade restrictions or bans
- Use the Service for any illegal or unauthorized purpose
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Sublicense, resell, or redistribute access to the Service without prior written consent
- Use the direct messaging inbox or voice calling feature to send unsolicited commercial communications, spam, or to harass, threaten, or abuse other users
- Attempt to record, intercept, or capture voice call audio through any means
- Use the messaging or calling features for any purpose unrelated to your legitimate business relationship with the other party on the platform
9a. Prohibited Business Categories
All users must comply with Beekeeper's Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. The AUP sets out a full list of prohibited and restricted business categories aligned with Stripe's Prohibited and Restricted Businesses policy.
By registering and using the Service, you represent and warrant that your business, products, campaigns, and activities do not fall within any prohibited category. Prohibited categories include, but are not limited to: adult content and services; firearms and weapons; controlled substances and drug paraphernalia; tobacco and e-cigarettes; gambling and betting; cryptocurrency exchanges and unregulated financial instruments; pyramid schemes and MLM programs; counterfeit goods; illegal products or services; human trafficking; and harmful or hateful content. Violations will result in immediate account suspension or termination, notification to Stripe, and where required by law, referral to law enforcement. Accounts terminated for AUP violations are not entitled to refunds.
9b. Direct Messaging and Voice Calling
The platform provides a direct messaging inbox and voice calling feature to facilitate communication between Merchants and Creators. By using these features, you agree that:
- Message content: You are responsible for all content you send through the platform inbox. Messages must comply with applicable law and these Terms. Beekeeper may access message content only where required by law or to investigate a credible report of abuse.
- Voice call encryption: Voice calls are end-to-end encrypted using WebRTC SRTP. Beekeeper does not record, store, or have access to voice call audio. Only call metadata (duration, timestamps, participants) is retained.
- No recording: You may not record voice calls made through the platform without the explicit prior consent of all other participants, as required by applicable law (including GDPR Art. 6 and national wiretapping laws).
- Acceptable use: Messaging and calling features are provided for legitimate business communications between Merchants and Creators working within the platform. Use for spam, harassment, or unsolicited commercial outreach is prohibited and may result in immediate suspension.
- Message retention: Message history is retained while both participants' accounts are active. You may delete individual messages you have sent. Account deletion will remove your messages in accordance with our Privacy Policy.
10. Intellectual Property
All software, APIs, technology, branding, and content underlying the Service are and remain the exclusive property of Beekeeper (Risan Solutions). No rights are granted except the limited right to access and use the Service in accordance with these Terms.
You retain ownership of your own business data, campaign content, and creative materials. You grant Beekeeper a limited, non-exclusive license to process, store, and display your submitted data solely as necessary to provide the Service.
11. Indemnification
You agree to indemnify, defend, and hold harmless Beekeeper (Risan Solutions), its affiliates, and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service or violation of these Terms
- Merchant campaign misuse, misconfiguration, or failure to honor valid redemptions
- Creator violations of advertising, disclosure, or consumer protection laws
- False, deceptive, or misleading promotional content
- Intellectual property infringement by content you submit or distribute
- Regulatory violations arising from your use of the Service
- Third-party claims arising from your conduct or content
12. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, Beekeeper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, revenue, goodwill, data, business opportunity, or business interruption, arising from or related to your use of the Service.
Beekeeper's total aggregate liability under these Terms shall not exceed the total fees paid by you to Beekeeper in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for (a) gross negligence or willful misconduct, (b) death or personal injury caused by negligence, or (c) any other liability that cannot be excluded or limited under applicable mandatory law.
13. Service Availability
Beekeeper does not guarantee any specific level of uptime or availability unless explicitly agreed in a separate written agreement. We aim to provide reliable service but reserve the right to:
- Modify, update, suspend, or discontinue features of the Service at any time
- Perform scheduled and unscheduled maintenance
- Temporarily interrupt the Service for technical or operational reasons
Beekeeper shall not be liable for any temporary interruptions, downtime, or service modifications, provided that we will use reasonable efforts to notify you of planned maintenance in advance.
14. Suspension, Restriction, and Termination
Either party may terminate the relationship at any time by providing written notice. Beekeeper may suspend, restrict, or terminate your access to the Service on any of the following specific grounds:
- Terms violation or prohibited conduct: You have materially breached these Terms or engaged in conduct listed in Section 9 (Prohibited Conduct).
- Fraud or security risk: There is credible evidence of fraudulent activity, abuse of the coupon system, account compromise, or other security risk attributable to your account.
- Payment failure: A billing payment fails and is not remedied within 7 days of notice, or you initiate an unjustified chargeback against a Beekeeper invoice.
- Compliance or legal risk: Continued provision of the Service to you would expose Beekeeper to legal liability or regulatory sanction under applicable law.
- Legal obligation: Suspension or termination is required by applicable law or a valid order of a court or competent authority.
- Inactivity: Your account has been inactive for more than 24 consecutive months and you have not responded to a reactivation notice.
Notice before restriction or termination: Except where immediate action is necessary to prevent imminent harm (including fraud, security incidents, illegal content, or to comply with a legal obligation), Beekeeper will provide you with a statement of reasons and, where a termination is planned, at least 30 days' prior written notice before the termination takes effect. For suspensions or restrictions (not full terminations), Beekeeper will provide a statement of reasons at the time of or immediately prior to the action unless providing advance notice would hinder detection of fraud or abuse. You may use the internal complaint process in Section 24 to seek review of any restriction, suspension, or termination decision.
Upon termination: (a) outstanding merchant fees and creator commissions will be finalized and billed; (b) eligible creator balances will be paid out where reasonably possible; (c) your access to the Service and API will be revoked; (d) your account data will be retained only as required by law or legitimate business purposes, then deleted in accordance with our Privacy Policy.
14b. Self-initiated Account Deletion
You may delete your own account at any time from Settings → Danger Zone. Account deletion is permanent and irreversible. However, deletion will be blocked until the following conditions are met:
Merchants
- No unbilled usage: All redemption events must have been reported to Stripe for invoicing. If billing has not yet been processed for recent redemptions, deletion is blocked until that billing cycle completes.
- No unpaid invoices: Your Stripe subscription must not have a failed or outstanding payment. Please resolve any payment issues before requesting deletion.
- No outstanding creator commissions: If any Creator in your program has an unpaid commission balance resulting from your campaigns, you must wait until those balances are paid out before your account can be deleted. Creator payouts are processed by Beekeeper and may take a short time to clear after the relevant billing cycle.
Creators
- No pending balance above the payout threshold: If you have an accrued balance of $25.00 or more, you must request a payout from the Earnings page before deleting your account.
- No in-flight payouts: If a payout is currently being processed, you must wait for it to complete before deleting your account.
- Sub-threshold balance: If you have a balance below $25.00 and have completed Stripe Connect setup, Beekeeper will automatically pay it out at the time of account closure. If Stripe Connect is not set up, you must complete it or contact support before deletion can proceed.
Financial records (redemptions, billing events, payout records) are retained for a minimum of 7 years after account deletion as required by applicable accounting and tax law, regardless of the account deletion request. See Section 22 (Financial Record Retention).
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemic, power failures, internet disruptions, cyberattacks, or third-party service outages (including Stripe).
16. Modifications to Terms
Beekeeper may update these Terms from time to time. We will provide at least 30 days' prior notice of material changes via the platform or email. You may terminate your account before the updated Terms take effect if you do not agree with the changes. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
17. Data Protection
Beekeeper processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and Norwegian data protection legislation. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of laws provisions.
Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Norway, unless mandatory law in your jurisdiction requires otherwise.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without Beekeeper's prior written consent. Beekeeper may assign its rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided that the assignee assumes all obligations under these Terms.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
21. Entire Agreement
These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and Beekeeper regarding the use of the Service, and supersede all prior or contemporaneous communications, agreements, representations, and understandings, whether oral or written.
22. Survival
The following provisions shall survive termination or expiration of these Terms: Definitions, Fees and Billing (for outstanding amounts), Creator Payouts (for accrued balances), Intellectual Property, Indemnification, Limitation of Liability, Marketplace Role and Payment Facilitation, Refunds and Transaction Reversals, Chargebacks and Payment Disputes, Financial Record Retention, Governing Law and Jurisdiction, and any other provisions that by their nature should survive.
23. Waiver
No failure or delay by Beekeeper in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. A waiver is only effective if made in writing and signed by an authorized representative of Beekeeper.
24. Platform-to-Business Compliance and Dispute Resolution
Beekeeper operates as an online intermediation service connecting Merchants and Creators within the meaning of EU Regulation 2019/1150 on promoting fairness and transparency for business users of online intermediation services ("P2B Regulation"). This section sets out the complaint handling process and mediation access available to Merchants and Creators as business users of the platform.
Internal Complaint Handling
If you are a Merchant or Creator and you believe that Beekeeper has acted in a way that is inconsistent with these Terms or contrary to applicable law — including any decision to restrict, suspend, or terminate your account — you may submit a formal complaint to:

Complaints must be submitted in writing and include: (a) a clear description of the issue, (b) the specific action or decision you are contesting, and (c) the remedy you are seeking. Beekeeper will acknowledge your complaint within 5 business days and provide a substantive written response within 20 business days. Where a complaint is complex, we will notify you of any extension beyond this period. We will handle complaints free of charge.
The complaint process is available to business users and does not affect your rights to seek judicial relief or to use the mediation process described below.
Mediation
If a complaint is not resolved through the internal process above, you may request mediation. Beekeeper is willing to engage in good-faith mediation with the following neutral, independent mediators, which have been identified in accordance with Article 12 of the P2B Regulation:
- ICC International Centre for ADR (International Chamber of Commerce) — an internationally recognised independent dispute resolution institution. Details at iccwbo.org/dispute-resolution.
- CEDR (Centre for Effective Dispute Resolution) — an independent, non-profit organisation specialising in commercial mediation. Details at cedr.com.
Either party may propose mediation by written notice to legal@beekeeper.bz. The costs of mediation shall be shared equally between the parties unless the mediator determines otherwise. Participation in mediation does not waive either party's right to pursue legal proceedings. Nothing in this clause obliges either party to reach a settlement through mediation.
Ranking and Data Access
Beekeeper does not apply algorithmic ranking to Merchants or Creators in a way that affects their relative commercial visibility on the platform. Merchants have full access to their own campaign performance data, redemption attributions, and billing records through their dashboard. Creators have access to their own earnings, payout history, and campaign statistics. Access to data generated through use of the platform is available via Settings → Privacy & Data (JSON export).
25. Marketplace Role and Payment Facilitation
Beekeeper is a technology platform that provides coupon distribution, campaign management, and redemption validation tools. Beekeeper is not a payment processor, bank, financial institution, money transmitter, or marketplace aggregator with respect to end-customer transactions.
- All transactions between a Merchant and its end customers (including purchase payments, refunds, and chargebacks) occur solely between the Merchant and its end customers through the Merchant's own payment infrastructure.
- Beekeeper is not a party to any transaction between a Merchant and an end customer.
- Platform fees and creator commissions are billed by Beekeeper to the Merchant through Stripe metered billing. These are separate from and do not affect end-customer payment flows.
- Creator payouts are funded by the Merchant's commission obligations and transferred directly to creator Stripe Connect accounts. Beekeeper does not hold funds on behalf of end customers at any point.
- All fees quoted in these Terms are in USD. Currency conversion is handled by Stripe under its own terms. Beekeeper is not responsible for foreign exchange rate risk or conversion losses.
26. Refunds and Transaction Reversals
Merchant-to-end-customer refunds are the sole responsibility of the Merchant and are processed through the Merchant's own payment infrastructure, independent of Beekeeper.
- Platform fees are non-refundable once a Redemption has been confirmed by the Beekeeper API, except where the Redemption was caused by a verified API error directly attributable to Beekeeper.
- Creator commissions credited to a Creator's pending balance are non-refundable once transferred to the Creator via Stripe Connect, except in cases of confirmed fraud, a successful chargeback reversal, or an API error directly attributable to Beekeeper.
- If a creator payout transfer is reversed by Stripe (e.g., due to an invalid Connect account), Beekeeper will restore the corresponding balance to the Creator's account, subject to Stripe's processing timeline.
- Requests for exceptional fee refunds must be submitted to legal@beekeeper.bz within 30 days of the disputed event.
27. Chargebacks and Payment Disputes
End-customer chargebacks arising from a Merchant's own sales are the sole responsibility of the Merchant and must be resolved directly between the Merchant, its end customer, and the Merchant's payment processor. Beekeeper has no liability for such chargebacks.
Chargebacks on Beekeeper's own subscription invoices (Merchant's Stripe billing for platform fees) are governed by Stripe's dispute policies. If a Merchant initiates a chargeback against a Beekeeper invoice:
- Beekeeper may immediately suspend or terminate the Merchant's access to the Service pending resolution.
- If Beekeeper prevails in the dispute, the Merchant remains liable for the original fee plus any chargeback fees imposed by Stripe.
- Unresolved payment disputes will be referred to debt collection or legal proceedings in accordance with Norwegian law.
Merchants are responsible for maintaining accurate payment methods, promptly addressing billing disputes through legitimate channels (i.e., contacting legal@beekeeper.bz), and not initiating chargebacks as a substitute for dispute resolution.
28. VAT, Taxes, and Invoicing
All fees stated in these Terms are exclusive of VAT and other applicable taxes. Where Beekeeper is required by law to charge VAT on its fees (including under EU VAT rules for B2B digital services), the applicable VAT rate will be added to invoices.
- Merchants are responsible for all tax obligations arising from their own sales to end customers, including VAT, sales tax, GST, and any other applicable transaction taxes. Beekeeper does not calculate, collect, or remit taxes on behalf of Merchants for their end-customer transactions.
- Creators are responsible for declaring and paying all income taxes, VAT (where applicable), and social security contributions arising from commission income received through the Service. Beekeeper does not withhold taxes on creator commissions unless required by applicable law.
- Beekeeper provides invoices for its platform fees via Stripe. Creators receive payout records for income reporting purposes. Additional invoicing or tax documentation requests should be directed to legal@beekeeper.bz.
- If you are VAT-registered in the EU, you may provide your VAT registration number during billing setup for reverse-charge purposes. You are responsible for ensuring your VAT information is accurate and up to date.
29. Financial Record Retention
Beekeeper retains financial transaction records in accordance with the Norwegian Accounting Act (Bokføringsloven) and applicable EU regulations. Specifically:
- Redemption records, platform fee records, creator commission records, payout records, and Stripe billing event records are retained for a minimum of 7 years from the date of the transaction.
- These records are retained regardless of account deletion. Personally identifiable information linked to financial records is minimised upon account deletion (see our Privacy Policy), but the financial record itself is preserved.
- Merchants may request a summary of their historical billing records by contacting legal@beekeeper.bz. Records are also available for download via Settings → Privacy & Data.
